In a statement released on the Johannesburg Stock Exchange, MTN confirmed that the new directors will assume their roles effective 31 March 2026.
Five New Independent Directors Join the Board
The newly appointed Board members are Herman Bosman, Advocate Ouma Rasethaba, Stéphane Richard, Ignatius Sehoole, and Saf Yeboah-Amankwah.
According to MTN, the directors bring diverse expertise spanning telecommunications, governance, investment, law, and global business leadership—capabilities considered critical to executing the Group’s long-term growth agenda.
Long-Serving Directors to Retire at AGM
As part of the transition, Stan Miller and Nkululeko Sowazi, who have served on the MTN Board since August 2016, will retire at the company’s annual general meeting scheduled for 29 May 2026.
Chairman Emphasises Succession Planning and Governance
MTN Group Chairman Mcebisi Jonas said the Board changes align with the Group’s comprehensive succession planning framework and its evolved Ambition 2030 strategy.
“These changes ensure we remain well positioned to deliver on our strategic objectives while continuing to strengthen governance, expertise, and oversight,” Jonas said, noting that the Board will temporarily expand during the transition period before gradually reducing in line with planned retirements.
He also expressed appreciation to the outgoing directors for their pivotal role in guiding the Group through complex market and operational challenges.
Changes Also Announced at MTN South Africa
MTN further disclosed leadership changes at its key subsidiary, MTN South Africa. Mike Harper will step down as Chairman on 31 March 2026 after nearly a decade of service.
He will be succeeded by Sindi Mabaso Koyana, who assumes the role of Chairperson from 1 April 2026. She remains a member of the MTN Group Board, alongside Noluthando Gosa, who also joins the MTN South Africa Board.
Strengthening Leadership for Africa’s Digital Future
MTN said it looks forward to the contributions of the new directors as it advances its strategy of delivering leading digital and financial solutions that support inclusive economic growth across its African footprint.
